Terms of Service

AQUORIA O.N.E · AQUORIA Pte. Ltd. · Last updated 3 November 2026

These Terms of Service ("Terms") are an agreement between AQUORIA Pte. Ltd., of 705 Sims Drive, #01-04B, Shun Li Industrial Complex, Singapore 387384 ("AQUORIA", "we", "us"), and the business that signs up for AQUORIA O.N.E ("you", "your" or "the shop"). By creating an account, starting a trial or using AQUORIA O.N.E, you agree to these Terms on behalf of your business.

1. About these Terms

1.1 Who these Terms apply to

AQUORIA O.N.E is built for businesses, including home-based and small businesses. You must be at least 18 years old and have authority to bind the business you register. If you sign up on behalf of a company or other organisation, you confirm that you are allowed to accept these Terms for it. AQUORIA O.N.E is offered only in the countries listed when you sign up. It is not yet offered in mainland China.

1.2 Documents that form the agreement

The agreement between you and us is made up of these Terms, our Data Processing Agreement (which applies to the personal data of your customers that we process for you), and any order details shown to you at checkout. Our Privacy Policy explains how we handle the personal data we control, such as your own account details. If there is a conflict, the Data Processing Agreement wins on matters of personal data, and these Terms win on everything else.

2. The service

2.1 What AQUORIA O.N.E does

AQUORIA O.N.E is a web application that helps you run your business. Depending on how you set it up, it lets you manage orders, bookings and appointments, customers, payments records, deliveries, loyalty programmes and marketing; offer your customers an ordering page or app; and send and receive messages, including through WhatsApp. We call all of this, together with our websites, mobile apps, support and related features, the "Service".

2.2 Changes to the Service

We may add, change or remove features over time. If we remove a feature that is a significant part of what you pay for, we will tell you in advance where reasonably possible, and you may cancel if you are not happy with the change.

2.3 Mobile apps

Our mobile apps in the Apple App Store and Google Play are free to download. They are for signing in and using an existing account only. Subscriptions are bought only on the web, through our website, and not through the app stores.

3. Your account

3.1 Sign-up and accurate details

You must give accurate information when you sign up and keep your contact email up to date, as we use it for important notices.

3.2 Staff accounts

You can invite your staff to use your account. You decide what each staff member can see and do. You are responsible for everything done under your account, including by your staff, and for making sure your staff follow these Terms.

3.3 Keeping your account safe

You must keep passwords and sign-in details secret and not share accounts between people. Tell us promptly at ben@aquoriaone.com if you think someone has accessed your account without permission. To protect accounts, we may lock an account temporarily after repeated failed sign-in attempts.

4. Plan, price and payment

4.1 Plans

There are two plans. Essential is for home and one-person businesses: it includes the owner's account only (no staff or driver accounts), one location, 5 GB of storage for photos and files, and the WhatsApp assistant described in section 6 with up to 300 replies per month. Business is for businesses with a team: it adds staff and driver accounts with roles and permissions; up to 3 locations (shops, workshops or central kitchens); inventory (stock per location, stock counts, recipes); HR (staff pay, leave, clock-in, staff records); accounting tools (bills, bank matching, a simple balance sheet, a year-end pack); leads and customer timelines; subcontractors (passing part of a job to a freelancer or another business); scheduled posts, TikTok posting, email newsletters and page visits; vending machines, up to 300 (stock per machine, refill visits, the site owner's share and card readers); up to 2,000 WhatsApp assistant replies per month; up to 10 logins in all for the owner, staff and drivers; and 50 GB of storage for photos and files. If you need more logins, locations, machines or storage, contact us: we can agree a higher allowance with its own price. Delivery proofs, receipts and customers' payment photos are always saved, even when your storage is full. The accounting and payroll tools help you keep records; they are not professional accounting, tax or legal advice, and you remain responsible for your filings. Some kinds of business always need Business, whatever their size: car rental, car dealers, car repair workshops, catering, renovation and interior design, manpower and staffing supply, office and contract cleaning, moving, and vending machines. These are shown when you choose your type of business and on our website. Orders are unlimited on both plans. What each plan includes is shown on the Billing page in the app and on our website. If you try to use something that is only in Business while you are on Essential, the app asks you to move to Business; we do not move you without your agreement.

You can move between plans at any time on the Billing page. Moving to Business takes effect straight away, and you are charged the difference for the rest of the current billing month. Moving to Essential takes effect straight away, and the difference is credited against your next bills. When you move to Essential, nothing you have already set up is deleted: existing staff accounts and locations keep working, but you cannot add more, and the WhatsApp assistant's monthly replies drop to Essential's allowance.

Plans are billed monthly in advance on the web, by card through our payment provider, Stripe, or, where we offer it, by bank transfer that we record against your account. Prices do not include any taxes that your country charges, such as GST, VAT or sales tax. We never take a share of the sales you make through the Service.

4.2 Price

Each country has a fixed monthly price for each plan in its own currency, which is the same for every shop in that country. For example, in Singapore Essential is S$29 per month and Business is S$149 per month. Your price, and the currency you are charged in, is the one for your shop's country and the plan you choose, shown on our website and on the Billing page in the app. It does not change with exchange rates. Where we have not set a price in a country's own currency, the price is in US dollars.

4.3 Price changes

We may change the price by giving you at least 30 days' notice by email or in the app. The new price applies from your first billing date after the notice period ends. If you do not agree to the new price, you can cancel before it takes effect.

4.4 Free trial

New shops get a 14-day free trial of the plan they choose when they sign up (Essential or Business), and can switch to the other plan during the trial. No payment card is needed to start it. A Business trial needs the shop's business registration number. At the end of the trial, you need to choose a plan and subscribe to keep using the Service. If you do not subscribe, your account is paused, as described in section 4.6.

4.5 Automatic renewal

Your subscription renews automatically each month, and you authorise us (through Stripe) to charge your chosen payment method on each renewal until you cancel. If you pay by bank transfer, you pay each month before it starts, and we confirm each payment in the app.

4.6 Failed payments and pausing

If a payment fails, we will let you know and you will have a grace period of 7 days to update your payment details, during which the Service keeps working normally. If payment is still not made after the grace period, your shop is paused. While paused, you and your staff can still sign in, see your records, take payment for and hand over existing orders, and export your data, but you cannot take new orders or bookings. Your shop is unpaused as soon as the outstanding amount is paid.

4.7 AI features are included

The AI features and their monthly allowances (section 6) are included in your plan. There are no paid AI top-ups.

4.8 Cancelling, refunds and disputed payments

You can cancel your subscription at any time in the app. When you cancel, you keep access until the end of the month you have already paid for, and then your subscription ends. We do not give refunds for part months, except where the law requires us to.

If we refund a payment in full, your subscription ends on the day of the refund and your shop is paused as described in section 4.6, until you subscribe again. A partial refund does not change your subscription.

If you dispute a payment to us with your bank or card issuer (a chargeback), your shop is paused while the dispute is open. If the dispute is decided in our favour, your shop is unpaused with the time you had paid for. If it is decided in your favour, your shop stays paused until you pay again. If you dispute payments more than once, we may ask you to contact us before you can pay again. If you think a charge is wrong, please contact us first; we will look into it.

5. Third-party services you connect

5.1 Your own accounts

Many features work by connecting your own accounts with other companies, for example WhatsApp Business (Meta), SMS providers such as Twilio, a Telegram bot, payment providers such as Stripe, HitPay, Xendit and similar, couriers such as Lalamove, Uber Direct and DoorDash Drive, your own email mailbox (such as Gmail, Outlook or Zoho), which we use to send emails to your customers and staff, including sign-in codes and payslips, buy-now-pay-later options offered through your payment account, and your Facebook and Instagram pages ("Third-Party Services").

5.2 You pay them directly

You sign up with and pay these providers directly. We never bill you for their charges, and we do not resell their services. Any fees for messages, payments, deliveries or similar are between you and the provider. Payments from your customers go straight from them to your own payment account: we never receive, hold or pass on that money, and we are not a party to your sales. AQUORIA itself emails only you, about your account, billing and security.

5.3 Their terms apply

Your use of a Third-Party Service is governed by your agreement with that provider, including its rules on messaging, payments and acceptable use. You must follow those rules. We are not responsible for Third-Party Services. If a provider changes or withdraws its service, the related feature in AQUORIA O.N.E may stop working, and we will not be responsible for that.

5.4 Permission to connect

When you connect a Third-Party Service, you authorise us to access it and exchange data with it on your behalf, as needed to provide the features you use. We store the keys and access tokens for these connections in encrypted form.

6. AI features

6.1 What they are

The Service includes two AI features, powered by Anthropic's Claude models:

6.2 Check AI output

AI output can be wrong, incomplete or inappropriate, even when it sounds confident. You should regularly check the conversations handled by the WhatsApp assistant, and check any help desk answer before relying on it. You are responsible for anything you send or publish, and for anything the WhatsApp assistant sends to your customers once you turn it on, including prices, promises and claims.

6.3 No training on your inputs

The content you and your customers put into the AI features is not used to train AI models.

6.4 Limits

If you reach a monthly AI limit, the related AI feature stops until the next month; the WhatsApp assistant hands new messages to you to answer yourself. Ask AQUORIA's daily limit starts again the next day, and you can still email us. The rest of the Service keeps working.

7. Your responsibilities as a business

You are responsible for running your own business lawfully. In particular, you are responsible for:

8. What you may use the Service for

8.1 Businesses we don't support

You may not use AQUORIA O.N.E to sell, offer or promote any of the following, even where they are legal in your country:

8.2 Fake shops and illegal goods: what happens

If we reasonably believe a shop is fake (for example it takes money for goods or services it never provides, pretends to be another business, or uses someone else's identity), deals in illegal goods, or breaks section 8.1, we may, without notice:

We do not refund subscription fees for an account closed under this section. If we find a shop did not break these rules, we will restore it and tell it why we acted.

8.3 You cover our losses

If you break section 8.1 or the law, section 13.4 (your indemnity) applies, for example to a claim by one of your customers or by a regulator.

8.4 Acceptable use

You must not use the Service, or let anyone else use it, to:

9. Your data

9.1 You own your data

The information you and your customers put into the Service, including customer details, orders, bookings, messages and files ("Your Data"), belongs to you. You give us permission to host, copy, process and display Your Data only as needed to provide, secure and support the Service for you. We do not sell Your Data and we do not use it for anything else.

9.2 Personal data of your customers

When we process personal data of your customers for you, you are the controller and we are your processor. Our Data Processing Agreement sets out our obligations and forms part of these Terms.

9.3 Privacy tools

The Service includes tools to help you meet your privacy duties, such as customer data export and erasure, automatic anonymisation after your chosen retention period (36 months by default), deletion of delivery-proof photos after your chosen period (12 months by default), an audit log, and masked phone numbers. You are responsible for choosing settings that suit your legal obligations.

9.4 Export

You can export Your Data at any time, including as CSV files, while your account is active or paused.

9.5 After you leave

After your subscription ends, we keep Your Data for 90 days so you can reactivate your account if you change your mind. After that, we delete it. Copies in our backups are overwritten within a further 35 days. We may keep records we are required by law to keep, such as billing records, for as long as the law requires.

10. Our intellectual property

We (and our licensors) own the Service, including the software, design, templates and our brand. We give you a non-exclusive, non-transferable right to use the Service for your business while your subscription or trial is active and you follow these Terms.

11. Availability and support

We use reasonable efforts to keep the Service available and working well, but we do not promise it will be uninterrupted or error-free. We sometimes need to carry out planned maintenance, and we will try to give notice where we reasonably can. Outages can also happen for reasons outside our control. We do not offer service-level credits. Support is provided by email at ben@aquoriaone.com and through the app. To help you, our support team may open your shop in a support view, as described in our Data Processing Agreement.

12. Disclaimers

To the extent the law allows, the Service is provided "as is" and "as available". We do not give any promise or warranty, whether express or implied, that the Service will meet your particular needs, will be fit for a particular purpose, or that any information, template or AI output in it is accurate or complete. Nothing in the Service is legal, tax or financial advice. Invoices and receipts made in the Service are your own documents. They are not government e-invoices; where your country requires those, you submit them yourself (in Malaysia, the Service gives you a MyInvois upload file).

13. Limitation of liability

13.1 What we are not liable for

To the extent the law allows, we are not liable for:

13.2 Our total liability

To the extent the law allows, our total liability to you for all claims arising out of or relating to the Service or these Terms is limited to the fees you paid us in the 12 months before the event giving rise to the claim.

13.3 What is not limited

Nothing in these Terms excludes or limits any liability that cannot be excluded or limited by law, such as liability for fraud or for death or personal injury caused by negligence.

13.4 Your indemnity

You will defend and indemnify AQUORIA, and its owners, directors, staff and contractors, against any claims, losses, damages, fines, penalties and reasonable costs (including legal fees) that arise from:

This does not apply to the extent a claim is caused by our own breach of these Terms, our negligence or our wilful misconduct. We will tell you promptly about any claim, let you take part in handling it, and not settle it in a way that makes you admit fault without your agreement, which you will not refuse unreasonably. The limits in section 13.2 do not limit what you owe us under this section.

14. Suspension and termination

14.1 By you

You can cancel at any time in the app, as described in section 4.8. You can also close your shop on the Billing page: this ends your subscription and takes the shop offline straight away, without a refund for the rest of the month, and section 9.5 then applies.

14.2 Suspension by us

We may suspend your account, or part of it, straight away if you do not pay (after the grace period in section 4.6), if you seriously breach these Terms, if your use puts the Service, other users or the public at risk, or if the law requires us to. Where reasonable, we will tell you why and give you a chance to fix the problem.

14.3 Termination by us

We may end your account if you seriously breach these Terms and do not fix the breach within a reasonable time after we tell you, or straight away if the breach cannot be fixed. We may also end the Service for any other reason by giving you at least 30 days' notice.

14.4 What happens at the end

When your account ends, your right to use the Service stops, and section 9.5 applies to Your Data. Sections that by their nature should continue, such as those on fees owed, liability, your indemnity (section 13.4) and governing law, continue after the end.

15. Changes to these Terms

We may update these Terms from time to time. If a change is material, we will give you at least 30 days' notice by email or in the app before it takes effect. If you do not agree with a change, you can cancel before it takes effect. If you keep using the Service after that date, the updated Terms apply.

16. General

16.1 Governing law and courts

These Terms are governed by the laws of Singapore, and the courts of Singapore have jurisdiction over any dispute. However, if the law of your own country gives you protections that cannot be removed by agreement, you keep those protections, and you may also be able to bring a claim in your local courts.

16.2 Notices

We will send notices to the email address on your account and may also show them in the app. You can send notices to us at ben@aquoriaone.com or by post to AQUORIA Pte. Ltd., 705 Sims Drive, #01-04B, Shun Li Industrial Complex, Singapore 387384.
